  • O menor não pode trabalhar até completar 16 anos, salvo na condição de aprendiz, diz a Constituição. Antes dos 16 anos, pode ser sócio de sociedade empresária mas não pode ser empresário individual nem administrar empresa. A partir dos 16 anos, pode ser sócio de sociedade empresária, assim como pode ter um emprego ou se tornar um profissional em atividade não empresária, mas não pode ser sócio administrador da empresa, a não ser que consiga a emancipação.

O empreendedor assume um alto grau de risco. Por isso deve se preparar bem antes de realizar seu projeto de empresa. Existem muitas coisas que o moleque esperto e empreendedor deve saber.

Não vou discorrer neste post sobre o que é empresa, empresário e sociedade empresária. Vou apenas responder à pergunta do título, por isso deixo um alerta: os conceitos de empresa, empresário e sociedade empresária nem sempre correspondem ao senso comum dos leigos em Direito. Mas o senso comum é suficiente para a finalidade deste post.

Já vimos em post anterior que o menor, com 16 anos ou mais, precisa da assistência de seus pais ou responsáveis para exercer os atos da vida civil. Não é diferente na atividade empresária. O menor que, por exemplo, quiser comprar produtos e revender, como um pequeno comerciante, precisará da assistência de seu responsável para realizar as compras, as vendas, ou seu registro como sócio de sociedade empresária. Além disso, o responsável poderá ser obrigado a pagar os impostos referentes à atividade empresária do menor, caso não seja possível exigir o pagamento do próprio menor.

Os clientes e fornecedores das sociedades empresárias talvez não gostem de negociar com menores, pois assumem posição bastante desfavorável, sofrendo as consequências da proteção que se dá ao menor. Poderão ter suas operações comerciais anuladas, por exemplo, quando faltar o consentimento do responsável pelo sócio menor. Para proteger aqueles que negociam com o menor, o legislador decidiu que ele deixa de ser incapaz, emancipando-se quando a sua empresa lhe dá economia própria, ou seja, lhe permite ter independência financeira. Uma vez emancipado, não precisará mais da assistência de seus pais e poderá trabalhar em sua empresa com autonomia, livre da necessidade de pedir consentimento aos responsáveis para cada ato.

Para proteger um pouco mais quem negocia com menores sócios de sociedades empresárias, a Lei 12.399 de 2011 impediu o sócio incapaz de exercer a administração da sociedade empresarial.

O menor sócio de sociedade empresária trabalha para o fornecimento de produtos ou serviços e, se tem consumidores, deve conhecer as normas que os protegem, organizadas no Código de Defesa do Consumidor. Sua sociedade deve pagar impostos, sendo recomendável que contrate os serviços de um contador. Pode empregar outras pessoas em sua empresa, o que lhe obriga a conhecer e respeitar os direitos trabalhistas. Pode ter sócios, pode contratar serviços de outras empresas… enfim, a sociedade pode até falir! Mas uma coisa o moleque empreededor não pode fazer: não pode cometer crimes.

Existem vários crimes previstos na Lei de Falências, no Código de Defesa do Consumidor e outras leis especiais, além do Código Penal. A sociedade empresária do menor que pinta e borda, pode ser obrigada a indenizar (acredite, não faltam razões para dizer que empresa é atividade de risco), mas nunca sofrerá processo criminal, porque mesmo o menor emancipado é crimininalmente inimputável até os 18 anos. Para quem não sabe, penalmente inimputável é aquele a quem não se pode atribuir responsabilidade criminal.

O fato de o sócio de sociedade empresária ser penalmente inimputável é bom ou ruim? Para o moleque esperto, pode soar como uma coisa boa. Uma oportunidade para errar sem a possibilidade de ser preso. Mas para muita gente, negociar com o menor inimputável é um risco. Como confiar em um sócio que não pode ser punido como os outros? Por que fazer negócios com um menor inimputável quando é possível fazer o mesmo tipo de negócio com pessoas maiores e imputáveis?

Existe ainda um risco para o próprio menor, que pode ser usado por pessoas capazes com maior malícia. Criminosos podem fazer os menores realizarem condutas, descritas como crimes, cujos verdadeiros autores poderão escapar das sanções penais, se não forem bem investigados.

Bom, como diz o Ziraldo, criança não pode trabalhar, mas brincar de trabalhar… é claro que pode! Se a criança pode, o adolescente também pode. Mas se surgir aquela vontade irresistível de ganhar dinheiro com o próprio trabalho, vontade de montar ou participar de uma empresa, o adolescente maior de 16 anos, aproveitando que está em idade de estudar bastante, deve procurar informações sobre como abrir um negócio corretamente. Ter uma empresa não é nada fácil e exige um bom planejamento… ou pode acabar em uma grande dor de cabeça. Se o menor estiver realmente disposto, e se o empreendedorismo não for atrapalhar os estudos, vale a pena dar uma olhada no site do SEBRAE para buscar informações sobre abertura de negócios.

Legislação básica para responder à pergunta do título:

Constituição, art. 5o

XXXIII – proibição de trabalho noturno, perigoso ou insalubre a menores de dezoito e de qualquer trabalho a menores de dezesseis anos, salvo na condição de aprendiz, a partir de quatorze anos;

…

Código Civil

Art. 5o A menoridade cessa aos dezoito anos completos, quando a pessoa fica habilitada à prática de todos os atos da vida civil.

Parágrafo único. Cessará, para os menores, a incapacidade:

I – pela concessão dos pais, ou de um deles na falta do outro, mediante instrumento público, independentemente de homologação judicial, ou por sentença do juiz, ouvido o tutor, se o menor tiver dezesseis anos completos;

II – pelo casamento;

III – pelo exercício de emprego público efetivo;

IV – pela colação de grau em curso de ensino superior;

V – pelo estabelecimento civil ou comercial, ou pela existência de relação de emprego, desde que, em função deles, o menor com dezesseis anos completos tenha economia própria.

Art. 972. Podem exercer a atividade de empresário os que estiverem em pleno gozo da capacidade civil e não forem legalmente impedidos.

Art. 973. A pessoa legalmente impedida de exercer atividade própria de empresário, se a exercer, responderá pelas obrigações contraídas.

Art. 974. Poderá o incapaz, por meio de representante ou devidamente assistido, continuar a empresa antes exercida por ele enquanto capaz, por seus pais ou pelo autor de herança.

§ 1o Nos casos deste artigo, precederá autorização judicial, após exame das circunstâncias e dos riscos da empresa, bem como da conveniência em continuá-la, podendo a autorização ser revogada pelo juiz, ouvidos os pais, tutores ou representantes legais do menor ou do interdito, sem prejuízo dos direitos adquiridos por terceiros.

§ 2o Não ficam sujeitos ao resultado da empresa os bens que o incapaz já possuía, ao tempo da sucessão ou da interdição, desde que estranhos ao acervo daquela, devendo tais fatos constar do alvará que conceder a autorização.

§ 3o  O Registro Público de Empresas Mercantis a cargo das Juntas Comerciais deverá registrar contratos ou alterações contratuais de sociedade que envolva sócio incapaz, desde que atendidos, de forma conjunta, os seguintes pressupostos: (Incluído pela Lei nº 12.399, de 2011)

I – o sócio incapaz não pode exercer a administração da sociedade; (Incluído pela Lei nº 12.399, de 2011)

II – o capital social deve ser totalmente integralizado; (Incluído pela Lei nº 12.399, de 2011)

III – o sócio relativamente incapaz deve ser assistido e o absolutamente incapaz deve ser representado por seus representantes legais. (Incluído pela Lei nº 12.399, de 2011)

Art. 975. Se o representante ou assistente do incapaz for pessoa que, por disposição de lei, não puder exercer atividade de empresário, nomeará, com a aprovação do juiz, um ou mais gerentes.

§ 1o Do mesmo modo será nomeado gerente em todos os casos em que o juiz entender ser conveniente.

§ 2o A aprovação do juiz não exime o representante ou assistente do menor ou do interdito da responsabilidade pelos atos dos gerentes nomeados.

Art. 976. A prova da emancipação e da autorização do incapaz, nos casos do art. 974, e a de eventual revogação desta, serão inscritas ou averbadas no Registro Público de Empresas Mercantis.

Parágrafo único. O uso da nova firma caberá, conforme o caso, ao gerente; ou ao representante do incapaz; ou a este, quando puder ser autorizado.
